1. Agreement to these terms
These Terms of Service (the “Terms”) are an agreement between Saucer LLC (“Saucer,” “we,” “us”) and the business or organization that creates a Saucer account (the “Customer,” “you”). They cover the Saucer website at getsaucer.com, the manager site at app.getsaucer.com, each Customer’s team site and crew hub at yourcompany.saucer.team, and any Saucer app (together, the “Service”).
If you accept these Terms for an organization, you confirm you have authority to bind it. If you don’t agree, don’t use the Service. Our Privacy Policy and Acceptable Use Policy are part of these Terms.
2. Who’s who
- Customer: the company or organization with the Saucer account.
- Managers: the people a Customer gives access to the manager site (owners, admins and managers).
- Crew: a Customer’s team members, applicants and leaders who use the Customer’s team site or crew hub.
- Customer Data: everything a Customer, its Managers or its Crew put into the Service, such as rosters, applications, schedules, time records, documents, signatures, messages, photos and videos.
3. The Service
Saucer gives seasonal and event businesses tools to recruit, hire, onboard, schedule, check in, pay attention to and communicate with their crews. We may add, change or retire features over time. If we remove a major feature you’re paying for, we’ll tell you ahead of time.
Some features may be labeled beta or preview. They’re offered as they are, may change, and may not be supported long term.
4. Accounts and access
- You must be at least 18 years old to create a Customer account or be a Manager.
- Keep sign-in details private. You’re responsible for what happens under your account and for who you give access to, including the access you give leaders in your crew app.
- Tell us right away at support@getsaucer.com if you think someone has gotten into your account without permission.
- You decide who is on your Crew and when they lose access. When you mark someone inactive in Saucer, their crew hub access ends.
5. Your data
You own your Customer Data. You give Saucer permission to host, store, copy, process, display and send it only as needed to run, secure, support and improve the Service, and as these Terms or the law require.
We act on your behalf. For information about your Crew, you decide what to collect and why, and Saucer processes it for you as your service provider. We don’t sell Customer Data, and we don’t use it to advertise to anyone.
You’re responsible for collecting it properly. That includes giving any notices and getting any consents the law requires (for example, for employment records, electronic signatures, health information, photos and videos, and messages), and making sure you have the right to put the data into Saucer.
Getting a copy. You can download hours and signed documents from the Service yourself. For anything else, such as a full copy of your roster, email support@getsaucer.com and we’ll provide it in a common format.
6. Paperwork and electronic signatures
Saucer lets you send documents and collect typed or drawn signatures and initials. We record who signed, when, and from what IP address, and keep a copy of the signed document.
You’re responsible for the content of your documents and for whether an electronic signature is right for a given document under the laws that apply to you. Saucer doesn’t give legal advice and isn’t a party to the documents you send.
7. You’re the employer
Saucer is a software tool. It isn’t your crew’s employer, staffing agency, payroll provider or consumer reporting agency. You remain responsible for your hiring decisions, schedules, pay, breaks, overtime, tax and employment-law compliance, and for checking that time records are correct before you pay from them.
If you use a background check service through Saucer, that service is provided by the third party under its own terms, and you’re responsible for following the laws that apply, including the Fair Credit Reporting Act.
8. Other companies’ services
The Service works with services run by other companies, such as payment processing, email delivery and, if you turn them on, integrations like background checks. Those services have their own terms and privacy policies. We aren’t responsible for services we don’t run. The companies that help us run Saucer are listed on our Subprocessors page.
9. Plans, trials and payment
- Free trial. New accounts start with a free trial for the length shown at signup. No payment is due during the trial. When it ends, choose a plan to keep using the Service.
- Plans. Plans are priced per year, based on the number of active crew. If you go over your plan’s crew limit, we’ll ask you to move to the plan that fits.
- Billing. Fees are billed in advance for each plan year and, unless we agree otherwise in writing, are due when billed. Prices don’t include taxes; you’re responsible for any sales, use or similar taxes.
- Renewal. Plans renew automatically for another year unless you cancel before the renewal date. If we change a price, we’ll tell you at least 30 days before it applies to your renewal.
- Refunds. Fees are non-refundable, including for partial years and unused crew spots, except where the law requires otherwise.
- Late payment. If a payment fails or is overdue, we’ll let you know. If it isn’t resolved, we may pause the account until it is.
10. Referrals
- How it works. Each account has a referral link. A new company that signs up through it gets 10% off its first plan year. When that company pays for its first year, the account that referred it gets a credit worth one month of its own plan, applied to its next payment.
- Limits. Referral credits add up to at most one plan year’s worth in any 12 months. They have no cash value, can’t be transferred, and end if the account that earned them closes.
- Fair play. Referring your own company, an account you already belong to, or a company that was already a Saucer customer doesn’t count. We may withhold or reverse credits earned through spam, fake accounts or other misuse, and we may change or end the program for future referrals at any time.
11. Pausing, canceling and ending
You can cancel any time by emailing support@getsaucer.com; your plan stays active until the end of the year you’ve paid for. We may pause or end an account that doesn’t pay, that breaks these Terms or the Acceptable Use Policy, or when we need to in order to protect the Service, other customers or the public. Where we reasonably can, we’ll tell you first and give you a chance to fix the problem.
When an account is paused, Managers and Crew can’t use it, but your Customer Data is kept. After an account ends, we keep Customer Data for up to 12 months so you can come back or ask for a copy, then delete it. You can ask us to delete it sooner, and we’ll do so within 30 days, except for copies we must keep by law or that remain in backups for a short time before they’re overwritten.
12. Using Saucer responsibly
Use the Service only for lawful business purposes and as described in our Acceptable Use Policy. Don’t try to get into accounts or data that aren’t yours, interfere with the Service, copy it to build a competing product, or resell it without our written permission.
13. Support and our access to your account
To help you or keep the Service running, our team may look at your account. We do this only when needed. It’s look-only by default and time-limited. If we need to make a change, we unlock editing for that session and record it in a log. We keep this access to the few people who need it.
14. Saucer’s property and feedback
The Service, including the software, design, logos and content we create, belongs to Saucer and its licensors and is protected by copyright, trademark and other laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your own business while your account is active; they don’t transfer ownership or give you any other rights.
What you can’t do. You, your Managers and your Crew may not copy, modify, sell, sublicense or rent the Service; decompile, reverse-engineer or try to get its source code; scrape it or use automated tools to pull its content, beyond the downloads it offers; copy its look, layout or features to build something similar; or remove any copyright or other notices. Your Customer Data is yours and isn’t covered by this.
Our name. “Saucer,” the Saucer logo and related names and designs are Saucer’s trademarks. Don’t use them without our written permission, except to say plainly that you use Saucer.
Feedback. If you send us ideas or feedback, we may use them without owing you anything.
15. Confidentiality
Each side will keep the other’s non-public business information confidential and use it only to carry out these Terms, except where the information is already public, was already known, or must be disclosed by law. Customer Data is your confidential information.
16. Disclaimers
We work hard to keep Saucer reliable and secure, but the Service is provided “as is” and “as available.” To the fullest extent the law allows, Saucer disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and doesn’t promise the Service will be uninterrupted, error-free or meet every need. Nothing in the Service is legal, tax, payroll or HR advice.
17. Limits on liability
To the fullest extent the law allows:
- Neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if warned they were possible.
- Saucer’s total liability for all claims about the Service or these Terms is limited to the amount you paid Saucer in the 12 months before the event that led to the claim.
These limits don’t apply to your obligation to pay fees, to your indemnity below, or where the law doesn’t allow them.
18. Indemnity
You’ll defend and indemnify Saucer and its owners, employees and contractors against claims, losses and costs (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in breach of these Terms or the law, or your relationship with your Crew, including employment, pay and background check matters.
19. Resolving disputes
Talk to us first. Most problems can be solved quickly. Before starting a formal claim, email support@getsaucer.com with a description of the issue, and give us 30 days to try to resolve it.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that isn’t resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Charleston County, South Carolina. Judgment on the award may be entered in any court with jurisdiction.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding.
Exceptions. Either side may bring an individual claim in small claims court, and either side may ask a court for an injunction or other equitable relief to protect its intellectual property or confidential information, or to stop unauthorized use of the Service.
20. Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules, and by the Federal Arbitration Act. Subject to the arbitration section, the state and federal courts located in Charleston County, South Carolina have exclusive jurisdiction.
21. Changes to these terms
We may update these Terms. For material changes, we’ll give account owners at least 30 days’ notice by email or in the Service before they take effect. If you keep using the Service after changes take effect, you accept them. If you don’t agree, you can cancel before they take effect.
22. General
- These Terms, with the policies they mention and any order or plan details, are the whole agreement between us about the Service.
- If any part is found unenforceable, the rest stays in effect. Not enforcing a right isn’t a waiver of it.
- You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of our business.
- Neither side is responsible for delays caused by events beyond its reasonable control.
- We’ll send notices to the account owner’s email. Send notices to us at support@getsaucer.com.
